Welcome to RankFlux.org. These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or “Client”) and RankFlux LLC (“Company,” “we,” “us,” or “our”), concerning your access to and use of our website as well as our digital marketing services.

Acceptance of Terms

By accessing our website, purchasing our services, or signing a service agreement, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, then you are expressly prohibited from using our services and must discontinue use immediately.

Scope of Services

RankFlux LLC provides high-end digital marketing solutions, including but not limited to Search Engine Optimization (SEO), Pay-Per-Click (PPC) management, Content Marketing, and Web Development. We act as an independent contractor, not as an employee, partner, or joint venture of the Client.

• SEO Disclaimer: While we employ industry best practices to improve rankings, we cannot guarantee specific results (e.g., #1 on Google) due to the unpredictable nature of search engine algorithms.
• Strategy Modifications: We reserve the right to modify our service strategies, pricing, or methodologies at any time to adapt to market shifts and algorithm updates.

Client Obligations

To ensure the success of your campaigns, you agree to cooperate with RankFlux LLC by providing:

• Access to necessary accounts (Google Analytics, Search Console, Website CMS, Hosting) in a timely manner.
• True, accurate, and current information regarding your business, target audience, and marketing goals.
• Timely approvals on content, ad copies, and strategy documents. Delays in client approval may result in project timelines being extended.

Payment and Refund Policy

All services provided by RankFlux LLC are billed according to the agreed-upon proposal. Payments are due strictly upon receipt of the invoice unless otherwise stated in your contract.

• Non-Refundable: Due to the digital nature of our services and the manual labor involved, all payments made are non-refundable once work has commenced.
• Late Payments: We reserve the right to pause or terminate services if an invoice remains unpaid for more than 7 days past the due date.

Intellectual Property Rights

Unless otherwise indicated, the Site and our proprietary marketing strategies are our proprietary property. However, upon full payment:

• Client Ownership: You retain full ownership of your website, existing content, and any creative assets (logos, images) you provide to us.
• Agency Ownership: RankFlux LLC retains ownership of its background technology, audit frameworks, proprietary tools, and general know-how used to deliver the services.

Limitation of Liability

To the fullest extent permitted by law, RankFlux LLC shall not be liable to you for any indirect, consequential, exemplary, incidental, or punitive damages, including lost profit, lost revenue, or loss of data, arising from your use of the site or our services. In no event shall our liability exceed the amount paid by you to us during the three (3) month period prior to any cause of action.

Confidentiality

Both parties agree to keep confidential all non-public information obtained during the business relationship. We will not disclose your trade secrets, financial details, or customer lists to any third party without your prior written consent, except as required by law.

Third-Party Tools & Links

Our services may involve the use of third-party tools (e.g., Google Ads, Facebook Business Manager, Semrush). RankFlux LLC is not responsible for the terms, policies, or technical issues of these third-party platforms. Any ad spend paid directly to these platforms is the sole responsibility of the Client.

Termination

Either party may terminate the service agreement with written notice as defined in your specific proposal (typically 30 days). Upon termination, all outstanding invoices must be paid immediately. RankFlux LLC reserves the right to terminate services immediately for any breach of these Terms.

Governing Law

These Terms shall be governed by and defined following the laws of the State of Wyoming, United States. RankFlux LLC and yourself irrevocably consent that the courts of Wyoming shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
